Terms of Service

1. Agreement to Terms

By accessing or using EventProsNZ ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, then you may not access the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform. By creating an account, posting content, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

EventProsNZ is a platform that connects event managers with contractors in New Zealand. The Platform facilitates:

• Event managers creating events and posting job opportunities
• Contractors creating business profiles and offering services
• Matching event managers with contractors based on their needs
• Facilitating communication and inquiries between users
• Providing tools for event planning, budgeting, and management

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security and confidentiality of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other breach of security

3.2 Account Types

The Platform offers different account types:

• Event Manager: For individuals or businesses organizing events who need to find and hire contractors
• Contractor: For service providers offering event-related services such as catering, photography, music, decoration, and more

3.3 Age Requirements

You must be at least 18 years old to use the Platform. If you are under 18, you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.4 Account Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Misrepresentation of your identity or qualifications
• Extended periods of account inactivity

4. User Conduct and Responsibilities

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates any applicable law or regulation
• Transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• Impersonate or attempt to impersonate EventProsNZ, an EventProsNZ employee, another user, or any other person or entity
• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform
• Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose
• Introduce any viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful

4.2 Content Standards

All content you post on the Platform must:

• Be accurate and truthful
• Comply with all applicable laws and regulations
• Not infringe upon the rights of any third party
• Not be defamatory, obscene, offensive, or harmful
• Not contain spam, advertising, or promotional content
• Respect the intellectual property rights of others

4.3 Prohibited Activities

The following activities are strictly prohibited:

• Posting false, misleading, or fraudulent information
• Harassing, abusing, or harming other users
• Sharing personal information of others without consent
• Attempting to circumvent platform fees or payment systems
• Engaging in any fraudulent or deceptive practices
• Violating any applicable laws or regulations

5. Intellectual Property Rights

5.1 Platform Content

The Platform and its original content, features, and functionality are owned by EventProsNZ and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The Platform's content, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of EventProsNZ or its content suppliers.

5.2 User Content

You retain ownership of any content you post, upload, or otherwise make available on the Platform ("User Content"). By posting User Content, you grant EventProsNZ a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in connection with the Platform and our business operations.

You represent and warrant that:

• You own or have the necessary rights to all User Content
• User Content does not infringe the rights of any third party
• User Content complies with all applicable laws and regulations

5.3 Copyright Infringement

If you believe that any content on the Platform infringes your copyright, please contact us at legal@eventpros.co.nz with the following information:

• A description of the copyrighted work that you claim has been infringed
• The location of the material that you claim is infringing
• Your contact information
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner
• A statement that the information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

6. Fees and Payments

6.1 Subscription Tiers

EventProsNZ may offer various subscription tiers with different features and pricing. Details of current subscription plans are available on our pricing page. We reserve the right to change our pricing at any time, with notice provided to existing subscribers.

6.2 Payment Terms

When you purchase a subscription, you agree to:

• Provide accurate and complete billing information
• Authorize us to charge your payment method for the subscription fee
• Pay all fees associated with your subscription on time

6.3 Refunds

Subscription fees are generally non-refundable. However, we may consider refund requests on a case-by-case basis. Refund requests must be submitted within 30 days of the initial purchase.

7. Disclaimers and Limitation of Liability

7.1 Service Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE PLATFORM.

7.2 User Interactions

EventProsNZ is a platform that facilitates connections between event managers and contractors. We do not:

• Verify the qualifications, credentials, or background of users
• Guarantee the quality, safety, or legality of services provided by contractors
• Warrant that event managers or contractors will fulfill their obligations
• Act as an agent or representative for any user

Users are solely responsible for conducting their own due diligence when engaging with other users.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTPROSNZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or use
• Business interruption
• Personal injury or property damage
• Damages arising from your use of the Platform
• Damages arising from interactions between users

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

8. Indemnification

You agree to indemnify, defend, and hold harmless EventProsNZ, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you post or transmit
• Your interactions with other users

9. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of New Zealand.

10.2 Dispute Resolution

If you have any concerns or disputes, you agree to:

1. First contact us at legal@eventpros.co.nz to attempt to resolve the dispute informally
2. If the dispute cannot be resolved informally, we may attempt mediation through a mutually agreed mediator
3. As a last resort, either party may bring legal proceedings in the courts of New Zealand

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Platform.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EventProsNZ regarding the use of the Platform.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice.
